Terms of Use

This document is available in English and Spanish. In the event of any discrepancy, the English version shall prevail.

1. Introduction and acceptance

This document sets out the terms governing access to and use of the website https://daemez.com (hereinafter, the “Terms” and the “Website”), owned by DAEMEZ SOLUCIONS, S.L. (hereinafter, “DAEMEZ”), whose full identifying details appear in the Legal Notice.

Please read these Terms carefully, together with the Legal Notice, the Privacy Policy and the Cookie Policy, before using the Website.

Accessing and using the Website implies full and unreserved acceptance of these Terms in the version published at the time of access. If you do not agree with them, you must refrain from using the Website.

2. Purpose and nature of the Website

The Website is informational and commercial in nature: it presents DAEMEZ’s products, services and solutions and facilitates contact with prospective clients.

Information about products, services, features or prices published on the Website is indicative and does not constitute a binding offer, unless expressly stated otherwise.

The Website is not an online contracting platform. The acquisition of licences, the contracting of services and any commercial relationship with DAEMEZ are formalised by way of a separate agreement between the parties, governed by its own terms and by the applicable software licence agreement.

3. User status

Accessing the Website confers the status of user (hereinafter, the “User”).

4. User obligations

The User undertakes to use the Website and its content in accordance with the law, morality, public order and these Terms, and shall refrain from:

  1. Carrying out unlawful activities or activities contrary to good faith, accepted standards of behaviour, morality or public order.
  2. Infringing intellectual or industrial property legislation or any other applicable provision.
  3. Reproducing, duplicating, copying, selling, reselling or exploiting for commercial purposes any content of the Website.
  4. Disseminating racist, xenophobic or pornographic content, content glorifying terrorism, or content infringing human rights.
  5. Introducing viruses, trojans, worms, logic bombs or any other technologically harmful program or material.
  6. Attempting to gain unauthorised access to the Website, to the server on which it is hosted, or to any server, computer or database connected to it.
  7. Carrying out denial-of-service or distributed denial-of-service attacks.
  8. Using automated systems (robots, scrapers, spiders) to extract content from the Website without DAEMEZ’s prior written authorisation.
  9. Impersonating another User or any other natural or legal person.

Breach will entitle DAEMEZ to withdraw or deny access to the Website, without prejudice to any legal action available to it.

5. Intellectual and industrial property

DAEMEZ owns or is licensed to use all intellectual and industrial property rights in the Website, the domain name, the trade marks and distinctive signs, and any content published on it, including designs, text, images, source code, databases and audiovisual elements (collectively, the “Content”).

These Terms do not transfer to the User any intellectual or industrial property right. The reproduction, transformation, distribution, public communication, making available, extraction, re-utilisation or use of any nature, by any means, is expressly prohibited, except where permitted by law or expressly authorised in writing by DAEMEZ.

6. Service availability

DAEMEZ will make reasonable efforts to keep the Website operational but does not guarantee its continuous and uninterrupted availability.

DAEMEZ reserves the right to suspend, withdraw, modify or restrict access to the Website or any of its sections, temporarily or permanently, without prior notice, in particular for maintenance, security or update purposes.

DAEMEZ shall not be liable for interruptions, delays, slowness, errors, losses or disconnections originating in circumstances beyond its control.

7. Limitation of liability

To the maximum extent permitted by applicable law, DAEMEZ shall not be liable for:

  • Damage arising from the use of the Website or the inability to use it.
  • Damage arising from denial-of-service attacks, viruses or any other technologically harmful material that may affect the User’s equipment, data or materials.
  • The accuracy, completeness or currency of published content, notwithstanding that DAEMEZ will endeavour to keep it up to date.
  • Decisions taken by the User on the basis of published information.

Nothing in these Terms excludes or limits DAEMEZ’s liability where such exclusion is not permitted by applicable law, in particular in cases of wilful misconduct or gross negligence, nor the rights afforded to consumers.

8. Links

Outbound. The Website may include links to third-party pages, provided for information purposes only. DAEMEZ accepts no responsibility for the products, services, content or privacy policies of those pages.

Inbound. Establishing a link to the Website does not imply any relationship between DAEMEZ and the owner of the linking site, nor acceptance of its content. Links that reproduce the Website within frames, that mislead as to its ownership or content, or that originate from sites with unlawful content or content contrary to morality and public order, are not permitted.

9. Commercial communications

Subscription to and receipt of commercial communications by electronic means require the User’s express and separate consent, given by ticking the corresponding box.

The User may withdraw such consent at any time, free of charge, via the unsubscribe link included in each communication or by writing to info@daemez.com.

10. Data protection

The processing of personal data provided through the Website is governed by the Privacy Policy and the Cookie Policy.

11. Amendment of the Terms

DAEMEZ may amend these Terms at any time. Amendments take effect upon publication on the Website.

Users are advised to review these Terms periodically and will be bound by the version in force at the time of each access.

12. Severability

If any clause is declared void or unenforceable by a competent authority, that declaration shall not affect the validity of the remainder, which shall remain in full force and effect.

13. Governing law and jurisdiction

These Terms are governed by Spanish law.

For the resolution of any dispute, the parties submit to the courts and tribunals of Barcelona, unless applicable consumer protection legislation establishes a different mandatory jurisdiction.
